Subscription Policy

SAKARA OFFERS AUTOMATICALLY RENEWING SUBSCRIPTIONS. AT THE BEGINNING OF EACH SUBSCRIPTION PERIOD, SAKARA WILL AUTOMATICALLY CHARGE A PAYMENT METHOD THAT SAKARA HAS ON FILE FOR YOUR ACCOUNT, UNLESS YOU CANCEL OR WE TERMINATE YOUR ACCOUNT, AS DESCRIBED IN THESE TERMS.

PLEASE READ THESE SUBSCRIPTION TERMS CAREFULLY. THESE SUBSCRIPTION TERMS INCORPORATE OUR TERMS AND CONDITIONS, WHICH REQUIRE THAT YOU ARBITRATE ANY DISPUTES YOU HAVE WITH US AND YOU WAIVE THE ABILITY TO BRING CLAIMS AGAINST US IN A CLASS ACTION FORMAT.

These subscription terms (the “Subscription Terms”) are Additional Terms, subject to the Sakara Life Terms and Conditions, available at https://www.sakara.com/pages/terms-and-conditions (the “Terms and Conditions”) and constitute a legally binding agreement between you (“you”, “your”, or “user”) and Sakara Life, Inc (“we”, “us”, “our” or “Sakara”). These Subscription Terms govern your purchase and use of an automatically renewing subscription good or service requiring recurring payments (each, a “Subscription”) initiated or completed on sakara.com (the “Site”).

Your purchase and use of a Subscription is also subject to Sakara’s Privacy Policy, available at https://www.sakara.com/pages/privacy-policy (the “Privacy Policy”). The Terms and Conditions and Privacy Policy are expressly incorporated herein. If there is any conflict between the Terms and Conditions or the Privacy Policy and these Subscription Terms, these Subscription Terms will control with respect to their subject matter. Any defined terms contained herein shall have the same meaning as those in the Terms and Conditions or the Privacy Policy, as applicable. You may use the Subscription only in compliance with these Subscription Terms, the Terms and Conditions, the Privacy Policy and all applicable laws and regulations. IF YOU DO NOT AGREE TO BE BOUND BY SUCH, YOU MAY NOT PURCHASE OR USE THE SUBSCRIPTION.

1. Subscription & Payment

Sakara may offer recurring Subscriptions in one or more term lengths (e.g., weekly, monthly, six-month, annual, etc.), and may offer fixed term Subscriptions. You must create an account on the Site to purchase and manage a Subscription, subject to our Terms and Conditions. Your Subscription cannot be transferred or assigned. Sakara reserves the right to refuse, suspend, or cancel your Subscription, or any part of it, for any reason at any time in its sole discretion without notice.

By signing up for the Subscription and providing Sakara with your payment information, you agree that: (a) you will be charged your first Subscription fee and any applicable taxes on the date you purchase the Subscription; (b) you authorize Sakara and its service providers to store your payment method for the purpose of executing future Subscription auto-renewal transactions; (c) unless you cancel, your Subscription will automatically renew at the start of each subscription period (with prior notice only to the extent required by applicable law or otherwise provided by us, in our sole discretion), and (d) at the time of renewal, Sakara will automatically charge the then-current Subscription fee and any applicable taxes to an eligible payment method that we have on file for you. If you would like to use a different payment method or if there is a change in payment method, please update your billing information. Sakara may cancel your Subscription with or without notice if your payment method is invalid for any reason.

2. Cancellation

You can cancel your Subscription by logging into your account on the Site and following the cancellation instructions given, or by emailing help@sakaralife.com and requesting cancellation.

• For meal plan Subscriptions: Your first meal delivery order is non-cancellable and non-refundable. For future deliveries, you must cancel by Wednesday (no later than 11:59 PM Eastern Time) the week prior to the scheduled delivery.

• For all other Subscriptions: You can cancel your Subscription at any time. To avoid charges for the next Subscription period, you must cancel before the billing date of your Subscription renewal.

There are no cancellation fees. Canceling your Subscription does not provide you with a refund for Subscription payments already processed, and does not stop a pending charge.

3. Refund Policy

Except as set forth herein and subject to applicable laws, Subscription subscribers are not eligible for refunds on any charges incurred for the Subscription, unless otherwise determined by Sakara in its sole discretion. It is your sole responsibility (a) to timely cancel your Subscription if you wish to prevent future charges and (b) to review all charges incurred in connection with your Subscription.

Subject to applicable laws, you must contact Sakara in the event of a dispute regarding a Subscription charge within sixty (60) days of the date of such charge. After such sixty (60) day period, you fully waive, release, and discharge all rights with respect to any amounts subject to such dispute, and Sakara is fully released from any and all related liability. Sakara is not responsible for overdraft fees that may be incurred. If you have questions, wish to dispute a charge related to your purchase or use of the Subscription or are unsure about when the next scheduled payment will occur, please contact Sakara (as described in these Terms).

4. Promotional Offers

From time to time, Sakara may offer some customers discounts and/or promotional offers relating to the Subscription (“Promotional Offers”). Such Promotional Offers are subject to these Terms, unless otherwise stated. Promotional Offers applied at purchase of the initial Subscription term or advertised by us at the time of renewal are not applicable to automatic renewal purchases, unless stated otherwise.

5. Changes to the Subscription

We reserve the right to adjust pricing for the Subscription or any components thereof in any manner and at any time as we may determine in our sole and absolute discretion. Any price changes or other material changes to your Subscription will take effect following notice to you. Your continued use of the Subscription after the change becomes effective will constitute your acceptance of the change. If you do not wish to continue subscribing with the applicable change, you may cancel your Subscription within the specified notice period.

6. Updates to the Terms

We reserve the right to update these Subscription Terms at any time, without prior notice. Modified Subscription Terms will be posted on the Site, and effective upon posting. Continued participation in a Subscription after any modification shall constitute consent to such modification.
